Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Synaptis Technologies LLC (“Company,” “we,” “our”) governing your access to and use of synaptisusa.com, AXIFI, and any other Synaptis platform or service (collectively, the “Services”). By accessing the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old and have the authority to bind yourself or the organization on whose behalf you act. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate applicable laws, regulations, or third-party rights;
  • Transmit harmful, offensive, or infringing content;
  • Attempt to gain unauthorized access to our systems or other users’ accounts;
  • Reverse engineer, decompile, or disassemble any part of the Services;
  • Use automated tools to scrape, crawl, or data-mine the Services without our written consent;
  • Use the Services to process Protected Health Information without a signed HIPAA BAA with us.

3. Intellectual Property

All content, software, designs, trademarks, and intellectual property in the Services are owned by or licensed to Synaptis Technologies. Nothing in these Terms grants you ownership of or a license to our IP beyond the limited right to use the Services as described herein.

You retain ownership of data you submit to the Services (“Customer Data”). You grant Synaptis a limited license to process Customer Data solely to provide the Services to you.

4. Healthcare and HIPAA

If you use any Service to process Protected Health Information (PHI) as defined under HIPAA, you must execute a Business Associate Agreement (BAA) with us before doing so. Use of the Services to process PHI without a BAA is a material breach of these Terms.

5. Fees and Payment

Fees are set out in your order form or subscription agreement. Unless otherwise stated, fees are due in advance, non-refundable, and exclusive of applicable taxes. We may update fees on 30 days’ written notice; continued use after the effective date constitutes acceptance.

6. Term and Termination

These Terms are effective from the date you first access the Services and continue until terminated. Either party may terminate for convenience on 30 days’ written notice. We may suspend or terminate your access immediately for material breach, non-payment, or if required by law. Upon termination, your right to use the Services ceases; we will return or delete Customer Data in accordance with our data-retention policy.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated clinical documentation (e.g., SOAP notes) is provided as a drafting aid only and does not constitute medical advice. Clinicians are solely responsible for reviewing, editing, and signing any clinical documentation before it enters an official record.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SYNAPTIS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Synaptis, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services in violation of these Terms or applicable law.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration administered by JAMS under its then-current rules, with proceedings conducted in Sheridan, Wyoming. Class-action and class-wide arbitration are waived. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@synaptisusa.com.

11. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
